1. Agreement to Terms

By accessing or using Aigenie's website (aigenievoice.com), AI voice agent services, communication services, and any related products or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Aigenie ("Company," "we," "our," or "us").

2. Description of Services

Aigenie provides AI-powered voice agent services, including but not limited to:

  • Automated voice calling and receiving services using artificial intelligence
  • SMS and text messaging services
  • Customer engagement and lead qualification tools
  • Appointment scheduling and follow-up automation
  • Analytics and reporting on communication interactions
  • Integration services with third-party platforms

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration and Security

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

5. Telecommunications and Messaging Consent

By using our Services, you acknowledge and agree that:

  • Our AI voice agents may place or receive telephone calls on your behalf or to you
  • Calls may be recorded for quality assurance, compliance, and service improvement
  • You will be informed when a call is being recorded
  • SMS/text messages may be sent as part of service delivery
  • Standard message and data rates from your carrier may apply
  • You may opt out of SMS communications at any time by replying STOP
  • SMS consent is not required as a condition of purchasing any goods or services
  • Message frequency varies based on your service usage and configuration

6. Acceptable Use

You agree NOT to use our Services to:

  • Violate any applicable laws, regulations, or industry guidelines (including TCPA, GDPR, CAN-SPAM)
  • Send unsolicited communications or spam
  • Harass, threaten, or intimidate any person
  • Engage in fraudulent, deceptive, or misleading practices
  • Impersonate any person or entity
  • Transmit malware, viruses, or harmful code
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any systems or data
  • Use the Services for any illegal purpose including robocalling without proper consent
  • Resell or redistribute the Services without our written consent
  • Use the Services in violation of the Telephone Consumer Protection Act (TCPA) or any applicable telemarketing laws

7. Compliance with Telecommunications Laws

You are responsible for ensuring your use of our Services complies with all applicable telecommunications laws and regulations, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA)
  • The Telemarketing Sales Rule (TSR)
  • Federal Communications Commission (FCC) regulations
  • State and local telemarketing laws
  • Do-Not-Call (DNC) registry requirements
  • CAN-SPAM Act for email communications
  • All applicable consent requirements for automated calls and texts

You must obtain all necessary consents before using our Services to contact individuals. Failure to comply with telecommunications laws may result in immediate termination of your account.

8. Payment Terms

  • Fees are as outlined in your selected service plan or custom agreement
  • All fees are non-refundable unless otherwise stated in writing
  • We reserve the right to change pricing with 30 days' advance notice
  • Failure to pay may result in suspension or termination of Services
  • You are responsible for all applicable taxes
  • Usage-based charges (per-minute calling, per-message SMS) are billed based on actual usage

9. Intellectual Property

All content, features, and functionality of our Services (including but not limited to software, text, graphics, logos, AI models, and algorithms) are owned by Aigenie and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you provide through our Services. By using our Services, you grant us a limited license to use, process, and store your content solely for the purpose of providing the Services.

10. AI Disclosure

Our Services utilize artificial intelligence technology. You acknowledge that:

  • AI-generated responses may not always be perfectly accurate
  • AI voice agents are not human, and recipients of calls/messages should be informed accordingly where required by law
  • We continuously work to improve AI accuracy but cannot guarantee error-free performance
  • You are responsible for reviewing and overseeing AI interactions conducted on your behalf

11. Data Processing

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

If you use our Services to process personal data of third parties (e.g., your customers), you are the data controller and are responsible for ensuring lawful processing, including obtaining necessary consents.

12. Service Availability and Modifications

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
  • We may modify, suspend, or discontinue features with reasonable notice
  • Scheduled maintenance will be communicated in advance when possible
  • We are not liable for service interruptions caused by third-party providers, natural disasters, or circumstances beyond our control

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIGENIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Aigenie, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third party's rights
  • Any communications sent through our Services on your behalf

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately if:

  • You breach these Terms
  • You fail to pay applicable fees
  • Your use of the Services poses a risk to other users or our systems
  • Required by law or regulatory action

Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

17. Dispute Resolution

Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Aigenie.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Aigenie operates, without regard to conflict of law principles.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or via email at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Aigenie regarding the use of our Services and supersede all prior agreements and understandings.
